In pre-market trading Thursday, Corteva shares were down 80.8% at $14.93, reflecting the separation of the seed business and its asset value into Vylor.
Corteva has completed the separation of its seed operating segment into an independent, publicly traded company called Vylor. The split was carried out through a pro rata distribution of all outstanding Vylor common stock to Corteva shareholders of record as of September 24, 2026.
The distribution follows a sequence that ran through the board's approval, SEC clearance and a bond exchange tied to the split. Corteva's board waived a condition requiring the absence of any legal restraint, to the extent not satisfied solely because of a potential injunction, clearing the way for the distribution ahead of Thursday's market open. That waiver came after the U.S. Court of Appeals for the Fourth Circuit reversed a lower court order that had blocked the spinoff following an injunction sought by California.
Tender rates across the three note series involved in the exchange ranged from 87% to 95%, leaving a small residual of untendered notes to be sorted out after the separation. Settlement on EIDP's notes, which raised capital at 6%, is set to close alongside the split into a crop protection company, which keeps the Corteva name, and the seed business now owned by Vylor Inc.
Today's distribution and VYLR's debut mark the last scheduled step in that process rather than new information. With the separation done, Corteva trades as the standalone crop protection business, and the per-share economics set earlier, including the EIDP notes, carry over intact rather than being renegotiated. The remaining mechanical item is MSCI's reclassification of Corteva to mid cap and Vylor's addition to standard indexes, both set for October 2.
