Skyworks and Qorvo clear last regulatory hurdle, set Oct 5 merger close

Skyworks Solutions said it has received all regulatory clearances needed to complete its merger with Qorvo, and the two companies now expect the deal to close on or about October 5, 2026, subject to remaining customary conditions.
Skyworks and Qorvo first agreed to combine in a cash-and-stock transaction on October 28, 2025. Skyworks has also launched exchange offers for Qorvo's outstanding 4.375% senior notes due 2029 and 3.375% senior notes due 2031, both conditioned on the merger closing.
The clearance removes the last major obstacle to a deal that has been pending for nearly a year, replacing regulatory uncertainty with a fixed timeline and clearing the way for the note exchanges to proceed on schedule. Skyworks shares jumped 12.7% on September 15 on the deal news itself rather than any operational catalyst. With regulatory risk now out of the way, attention turns to execution details, including the note exchanges, the share conversion ratios and integration planning, ahead of the targeted October 5 close.
