Kenvue misses third-quarter estimates and gives no guidance as Kimberly-Clark deal nears
Revenue of $3.89B fell short of the $3.94B expected, and earnings of $0.29 a share were a cent light, just as Kimberly-Clark's financing for the purchase is settled.

Kenvue missed third-quarter forecasts on both revenue and earnings, and will say nothing about what comes next. Revenue was $3.89B against $3.94B expected, and earnings were $0.29 a share, $0.01 below the bar. The company will give no forward guidance while its sale to Kimberly-Clark is pending.
The miss is small. What gives it weight is the timing. Kimberly-Clark has priced $4.9bn of notes, which with cash on hand and commercial paper cover the cash portion of a deal worth roughly $36bn. It has also dropped the last $3.9bn of standby bank bridge-loan backing. The financing is done, so there is little room for the terms to adjust if Kenvue's underlying performance keeps softening.
With no guidance, investors get no read on how the business Kimberly-Clark is buying is trending beyond this one weak quarter. Chief executive Kirk Perry said the company is nearing completion of the combination and called the results a reflection of disciplined execution, productivity initiatives and investment in its brands. A quarter that missed on both lines sits awkwardly beside that description.
The debt side is also largely arranged. Bondholders consented to Kimberly-Clark's exchange offer for up to $7.0bn of Kenvue notes, and Kenvue has signed a supplemental indenture that strips covenants from those notes. Those changes take effect only when the exchange offers settle, which is expected around the deal's close. With the bridge loan gone, Kimberly-Clark's own bondholders would rely on a redemption clause if the acquisition failed.
On that evidence the miss is a modest new data point rather than a threat to the deal. But a buyer that has already paid for its certainty has nothing left to renegotiate, and a weakening Kenvue would become Kimberly-Clark's problem after closing.
