Valero Energy agrees to buy LyondellBasell's idle Houston refinery site for $320.5m
The roughly 700-acre site sits next to Valero's own Houston refinery, and the company plans to restart 165,000 barrels a day of light sweet crude capacity by the end of 2027.

Valero Energy is putting its refining cash into more refining. Through its Valero Refining-Texas subsidiary, it has agreed to buy all the equity of LYB Houston Hub Holdings from a LyondellBasell Industries subsidiary for $320.5m, subject to closing adjustments. The asset is the former LyondellBasell refinery site of about 700 acres on the Houston Ship Channel, next to Valero's existing Houston refinery.
Valero expects to restart 165,000 barrels a day of light sweet crude processing capacity at the site by the end of 2027. Closing depends on customary conditions, including the expiry of the Hart-Scott-Rodino antitrust waiting period. Valero expects it by the end of 2026, and LyondellBasell puts it in the fourth quarter.
The timing means nothing here touches Valero's near-term earnings. What the purchase shows is where management wants the money to go. Valero reported near-record utilisation and strong cash generation last quarter, and rather than sit on that cash it is buying capacity. Refiners rarely get the chance to add barrels on the Gulf Coast cheaply, and an existing site costs a fraction of what a new plant would.
The deal also extends a pattern. Valero has been widening its advantage through upgrades to existing plants, such as the St. Charles fluid catalytic cracking project, and a neighbouring site should keep integration costs and logistics simpler than a standalone acquisition would. The bet is that margins stay strong long enough to repay a restart that will not produce a barrel for another year or more.
