Anthropic is scheduled to make its registration statement, known as the S-1, public at 9 a.m. Eastern on Monday, October 26. The Information reported on Sunday that the release could come that day, and TechBriefly carried the report. The release is the formal start of public disclosure, a step markets have been waiting for since the company's loss figures and compute obligations surfaced on October 20.
The public registration is the first point at which investors can review the full financial statements behind figures already reported: a loss of $80 billion in the first half, a $450 billion cloud commitment and $600 billion of compute spending. The company also faces a Pentagon supply-chain designation and an FTC inquiry.
A valuation of $1.8 trillion to $2 trillion has been reported for the offering. TechBriefly says some investors weighed a $1.5 trillion valuation amid slower growth. Some investors have also trimmed their valuation expectations after a recent selloff.
At an October 14 investor day, Anthropic said third-quarter revenue rose 45 per cent on the second quarter to $16.8 billion, Reuters reported. Second-quarter revenue was $11.6 billion, and first-quarter revenue was $4.7 billion.
Anthropic confidentially submitted a draft S-1 on June 1, 2026, and said the share count and price were not set and depended on market conditions. That followed a $65 billion Series H round at a $965 billion post-money valuation, Yahoo Finance reported. It also reported on October 4, citing Bloomberg, that a roadshow starting the week of November 9 would need the public S-1 on EDGAR by late October. Under SEC rules, a company that filed confidentially must make its registration public at least 15 calendar days before the roadshow begins, TechBriefly says.
