Fifth Third Bancorp earned $1.13 a share in the third quarter, $0.16 above expectations. Revenue came in at $3.28 billion, short of the $3.41 billion expected.
Chairman, CEO and President Tim Spence said adjusted returns and efficiency improved from the second quarter even as the bank works through its integration with Comerica, and that credit performance has stayed stable.
Fifth Third closed its acquisition of Comerica on February 1, 2026, less than four months after announcing the all-stock deal, valued at about $10.9 billion, in October 2025, according to Fifth Third investor relations and Yahoo Finance. The deal added more than 35% to Fifth Third's total assets, pushing them to roughly $290 billion to $294 billion and making it the 16th largest insured depository institution in the country, Yahoo Finance reported. At the time of the close, Spence told American Banker there was "a lot of work to do to take two companies and make them one company over the course of the next six months."
Fifth Third did not repurchase any common shares in the third quarter or in the first nine months of 2026. Holding back buybacks during an integration of this size is a common trade-off for banks, prioritizing balance sheet flexibility over returning cash to shareholders. The gap between the earnings beat and the revenue shortfall points to expense control or credit provisioning as the driver of the bottom line, rather than core growth. Management's description of stable credit and improving efficiency during the integration suggests the deal is proceeding so far without early signs of strain on asset quality.
