Littelfuse pays Elmos €24.6 million to amend Dortmund fab agreement
The deal releases cross-guarantees, eases transfer restrictions and updates supply terms tied to the German wafer fab

Littelfuse has amended its agreements with Elmos Semiconductor SE covering the Dortmund, Germany wafer fab, through a revised Share Purchase Agreement and Supply and Services Agreement involving its subsidiary Littelfuse Holding GmbH and Dortmund Semiconductor GmbH.
The amendment releases cross-guarantees that Littelfuse entities had previously provided, changes certain restrictions on transferring the asset, and updates parts of the existing supply relationship between the two companies. Littelfuse says the changes give it more flexibility to weigh future operational, strategic and capital allocation choices around the facility.
Littelfuse will pay Elmos a one-time fee of €24.6 million for the amendment, which will show up in its third-quarter 2026 results.
Littelfuse closed its purchase of the Dortmund fab from Elmos at the end of 2024 for €93 million, alongside a multi-year capacity sharing arrangement with an initial term running through 2029 that tied the two companies together through supply obligations and cross-guarantees. Paying €24.6 million now to unwind those guarantees and loosen the transfer restrictions points to Littelfuse wanting more room to manoeuvre on an asset it only recently acquired. It is a modest near-term cash cost set against the chance of greater strategic flexibility later, but with no operational upside disclosed yet, the move reads as neutral to slightly negative for the stock.
