Halozyme proposes $1.05 billion convertible notes due 2033
Proceeds will fund capped call transactions and repurchase the company's 2027 and 2028 convertible notes, with the rest going to general corporate purposes.

Halozyme Therapeutics has proposed an offering of $1.05 billion in convertible senior notes due 2033. Initial purchasers will have a 13-day option to buy up to an additional $150 million of the notes.
The company plans to use part of the proceeds to fund capped call transactions and to repurchase its outstanding 0.25% convertible senior notes due 2027 and 1.00% convertible senior notes due 2028. The remainder is earmarked for general corporate purposes, including working capital, capital expenditures and potential acquisitions.
The move looks more like a maturity extension than a fresh capital raise. Swapping the 0.25% and 1.00% coupons for 2033 paper likely priced higher reflects rate normalization rather than any strain on the balance sheet, and the capped calls are designed to limit dilution for existing holders. Because the proceeds are largely going toward refinancing rather than new growth spending, the effect on the equity story is expected to be minimal.
