Corteva board clears spinoff of seed unit into new company Vylor

Corteva's board has approved the separation of its seed operating segment into an independent, publicly traded company called Vylor. The move was previously announced and the board's approval sets the transaction in motion on a fixed timetable.
The board declared a pro rata dividend of all outstanding Vylor common stock to Corteva stockholders of record as of September 24, 2026. Each holder will receive one share of Vylor for every share of Corteva they hold, with cash paid in lieu of fractional shares.
The distribution is expected to be completed before 9:30 a.m. on October 1, 2026. Vylor is expected to begin regular-way trading on the New York Stock Exchange that day under the symbol VYLR. When-issued trading under VYLR WI is set to start on September 25, 2026.
The approval confirms a plan already known to the market, and it does not change the combined value of the two businesses. It reallocates that value between Corteva and Vylor rather than adding to it, so shareholders end up holding two stocks in place of one rather than gaining anything new.
