Cognex to buy RealSense for about $500 million in cash
The deal, funded from existing cash, is expected to close in the fourth quarter of 2026.

Cognex has agreed to acquire RealSense, a maker of depth-sensing cameras and vision technology used in robotic perception, in an all-cash deal worth about $500 million. Cognex will fund the purchase entirely from existing cash and investments.
"RealSense represents a compelling strategic expansion for Cognex into robotic perception, one of the most attractive adjacent markets in machine vision," said Matt Moschner, President and Chief Executive Officer of Cognex.
The deal is expected to close in the fourth quarter of 2026, subject to customary closing conditions. Cognex plans to offer retention packages to certain continuing RealSense employees, including restricted stock units valued at $45 million to $55 million and up to $69 million in cash payments spread over three years.
The purchase fills a gap in Cognex's portfolio at a moment when robotic perception is drawing more competition, including from NVIDIA, which has been pushing further into edge AI robotics with purpose-built chips. The strategic logic behind the deal is sound, but it does not materially shift Cognex's near-term competitive position.
