GTCR and Elliott to take CCC Intelligent Solutions private for $7.75 a share
The deal values the insurance-software company at an enterprise value of about $6.1 billion and closes out weeks of takeover speculation

CCC Intelligent Solutions has signed a definitive agreement to be acquired by GTCR and Elliott Investment Management for $7.75 per share in cash, the company said. CCC's board approved the transaction, which carries an enterprise value of approximately $6.1 billion.
CCC describes itself as a leading provider of software-as-a-service and artificial intelligence technology for the insurance economy. The $7.75 price represents a premium of about 44% to CCC's closing stock price on July 9, 2026, the last trading day before sale speculation began, and about 59% above its 30-day average price at that point.
That speculation started on October 9, 2026, when Bloomberg reported GTCR and Elliott were in advanced talks to buy CCC, citing people familiar with the matter. Shares rose about 7% that day to close at $7.02, valuing the company near $4.1 billion, then jumped nearly 9% further on October 12 as the report circulated. CCC had hired Morgan Stanley earlier this year to advise on a strategic sale process after Elliott built a substantial stake in the company.
The agreement carries no financing condition. Closing is expected in the first quarter of 2027, subject to regulatory approvals and a shareholder vote. CCC will remain public and listed on Nasdaq until the deal closes, at which point it will become privately held. The company plans to release third-quarter results on October 29 without a conference call, citing the pending transaction.
The signed agreement replaces weeks of uncertainty over which bidder would prevail and at what price, after unnamed media reports of advanced talks had already pushed the stock higher on rumor alone. With terms now fixed at $7.75 a share, attention turns to deal financing, regulatory clearance and the timeline to close, the usual gating items for a take-private of this size. From here, any gap between CCC's trading price and the $7.75 cash terms would reflect the market's view of closing risk rather than new information about the underlying business.
