Clearway Energy's subsidiary Swan Purchaser LLC has agreed to buy membership interests in Swan TargetCo LLC from Swan CE Seller LLC, an affiliate of Clearway Energy Group. The base purchase price is about $230 million in cash, subject to adjustments.
Swan TargetCo indirectly owns Swan Solar LLC, which is developing a solar photovoltaic facility with approximately 650 megawatts of installed capacity in Bates County, Missouri. The deal is expected to close in the third quarter of 2028, subject to customary conditions.
The purchase follows the pattern Clearway Energy has used before: buying assets dropped down from its sponsor rather than competing for them on the open market. The price is modest next to the company's balance sheet, and the 2028 closing means the deal adds to Clearway's pipeline without changing near-term cash flow, earnings, or the dividend outlook.
Because Clearway Energy Group remains the seller and the structure matches earlier sponsor drop-downs, the transaction points to continuity in strategy rather than a shift in direction. With no near-term financial impact and terms consistent with past related-party deals, the investment case is largely unchanged.
