DTE Energy has agreed to sell DTE Vantage, its renewable energy and custom energy projects business, to Velocity BidCo for $2,970,672,573, subject to adjustments for cash, debt, working capital and expenses at closing. Velocity BidCo is owned by institutional investors advised by the Global Infrastructure group at J.P. Morgan Asset Management.
The contract turns into a firm deal the roughly $3bn price DTE flagged alongside its third-quarter results. DTE's board approved it on October 30.
The buyer is also putting money behind its word. The agreement provides for a termination fee of $148,533,628.65, payable by the buyer under specified circumstances. That suggests the investors mean to complete, and it makes it less likely the deal collapses before closing.
For DTE the proceeds matter because of what they help pay for: a roughly $44bn five-year utility capital plan. With the sale now contractually set, the funding for that plan looks more concrete. It also reinforces the pro forma 2027 earnings-per-share baseline that management has already given investors.
The sale cannot close before December 31, 2026. Closing is currently expected in mid-2027, pending regulatory approvals.
