Option Care Health withdraws guidance and skips earnings call as it awaits sale to CD&R and McKesson
Third-quarter revenue of $1.49B missed the $1.51B analysts expected, but shareholders are being paid a fixed $32.05 a share, so the quarterly print now counts for little.
Option Care Health's third-quarter revenue of $1.49B fell short of the $1.51B analysts expected, while earnings of $0.49 a share matched forecasts. Because of its pending sale to Clayton, Dubilier & Rice (CD&R) and McKesson, the company has withdrawn its financial guidance and will not hold an earnings call.
The guidance it pulled was set on July 29. It covered net revenue of $5.675B to $5.775B, adjusted diluted EPS of $1.85 to $1.92 and adjusted EBITDA of $0.48B to $0.495B. The year has been uneven. First-quarter revenue of $1.35B missed the $1.40B expected, and second-quarter revenue of $1.44B beat the $1.42B expected.
None of that now drives the share price in the way it would for an independent company. McKesson and CD&R agreed on October 6 to buy Option Care Health for $32.05 a share, an enterprise value of about $5.8B. CD&R takes about 51% and McKesson invests about $1.4B for about 49%. Shareholders are being paid on those terms, not on operating trajectory.
What matters is whether the deal closes. Option Care Health has filed a preliminary proxy statement for the merger. The companies give no closing date beyond the first half of 2027, after which the shares will be delisted from Nasdaq and the company will go private.
