ADT agrees to $10.00 a share all-cash takeover by Thrive Holdings

The deal is expected to close in the first quarter of 2027, and ADT has withdrawn its guidance, leaving a third-quarter beat as the last operating marker.

ADT has signed a definitive agreement to be bought by Thrive Holdings for $10.00 a share in cash. The deal is expected to close in the first quarter of 2027. It needs the approval of ADT's stockholders and antitrust clearance.

That approval path now decides what holders receive. The cash price is fixed, so the return depends on whether the reviews finish on time and in the buyers' favour. A delay or a failed vote would change the outcome.

Because of the pending deal, ADT has withdrawn the guidance it issued earlier and will not give new guidance. Investors lose the forecast they would normally use to judge the company. What remains is the quarter itself.

Third-quarter earnings were $0.24 a share, $0.01 better than expected. Revenue was $1.35B against the $1.34B expected. Chairman, President and CEO Jim DeVries said the quarter reflected revenue growth, strong cash generation and stable core operating metrics. He said ADT is investing in AI, next-generation sensing and expanded digital and retail distribution.

The beat is small, and with the price set in cash it changes little for holders. The timing and outcome of the stockholder and antitrust reviews are what matter.
